This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and ASW Accounting ("Company," "we," "us," or "our") governing your use of the ASW Developer App application, including any related services that connect to QuickBooks Online (collectively, the "App").
By installing, accessing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the App.
Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your internal business purposes.
The App may request access to your QuickBooks Online data via Intuit's API in order to provide its functionality. You authorize the App to access, read, and/or write the specific data required to operate as described at the time of connection. You may revoke this access at any time through your QuickBooks Online account settings.
You may not: (a) copy, modify, or create derivative works of the App; (b) reverse engineer or decompile the App except as permitted by law; (c) sublicense, sell, rent, or lease the App; or (d) use the App for any unlawful purpose.
The App and all related intellectual property rights remain the sole property of ASW Accounting and its licensors. This Agreement does not grant you any ownership rights in the App.
The App is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, ASW Accounting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.
This Agreement is effective until terminated. We may terminate or suspend your access to the App at any time, with or without cause. Upon termination, your right to use the App will immediately cease.
We may update this Agreement from time to time. Continued use of the App after changes are posted constitutes your acceptance of the revised Agreement.
This Agreement shall be governed by the laws of Washington, USA, without regard to its conflict of law principles.
